Marketing Protocol
Terms & Conditions (Updated)
I. Independent Direct Seller
1. The applicant shall act as an Independent Direct Seller (“IDS” / “IBD”) for Dhanwantari Distributors Pvt. Ltd. (“Company”). The applicant confirms that he/she has attained the age of 18 years and is competent to enter into a contract under the Indian Contract Act, 1872.
2. This document, including the IDS Application, must be fully completed and digitally accepted. The IDS Agreement becomes legally binding upon acceptance by the Company.
3. The applicant shall submit valid government-issued identity and address proof, PAN card, and a cancelled cheque. All submitted documents must be true and correct.
4. This agreement constitutes a legally binding document between the IDS and the Company. Upon approval, the applicant shall become an IDS.
5. Digital Acceptance & Electronic Signature
By checking the box or clicking “I Agree / Submit”, the User provides a valid electronic signature
under the Information Technology Act, 2000 and agrees to be legally bound by this Agreement.
6. Income Disclaimer (Direct Selling Rules, 2021)
The Company explicitly states that salaried employment is not offered. No guaranteed or fixed
income is assured. All earnings depend on actual product sales and individual effort. Any promise
of guaranteed income is prohibited and may result in termination.
7. The IDS shall comply with all applicable laws including GST, Income Tax, Consumer Protection laws, IT Act, and Direct Selling Rules, 2021.
II. IDS Business Rules
- Participation is voluntary and there is no compulsion to sponsor others.
- IDS is an independent contractor and not an employee or agent of the Company.
- The Company shall not be liable for losses from IDS’s independent activities.
- IDS agrees to participate in the Compensation Plan as explained and understood.
- Commissions are paid after statutory tax deductions.
- The Company may amend rules and compensation plans from time to time.
- The Company may suspend or terminate IDS for misconduct.
- No joining, enrollment, renewal, or compulsory purchase fees are charged.
- 30-day Buy-Back Policy applies to unused and sealed products.
- Inventory loading is strictly prohibited.
- 30-day cooling-off period applies from digital acceptance.
- Only one IDS ID per PAN is allowed.
- Company funds cannot be collected by IDS in any form.
- Company reserves the right to reject any application.
- All provided information must be accurate and truthful.
- IDS ID must be kept confidential.
- Company may track activity for compliance and security.
- Confidentiality of customer and company data must be maintained.
III. IDS Duties & Responsibilities
- No unauthorized use of Company name, logo, or trademarks.
- Only Company-approved marketing materials may be used.
- Provide accurate training and information to downline.
- No therapeutic or medical claims about products.
- Maintain confidentiality of Company information.
- No solicitation or pirating of Company network.
- No defamatory or misleading statements.
- Ethical business practices must be followed at all times.
IV. Transfer of Distributorship
Transfer, reassignment, or change of sponsor is prohibited without written approval.
The Company reserves the right to reassign downlines upon termination or resignation.
V. Termination of Distributorship
The Company may immediately terminate IDS for violations including fraud, misrepresentation,
multiple IDs, inventory coercion, IP misuse, or unethical conduct.
VI. Death & Inheritance
Legal heirs must submit valid documentation. Approval remains at Company’s discretion.
VII. Prohibited Business Practices
- Under-cutting or over-pricing products
- Cross-sponsoring or pirating
- Dummy or false registrations
- Misuse of Company goodwill
VIII. Commission & Payout
Commissions are based solely on product sales. No income is paid for recruitment.
Payments are subject to bank details and statutory deductions.
IX. Taxation
IDS is responsible for GST, Income Tax, TDS, and statutory compliance.
X. Legal
This Agreement is governed by Indian laws. Jurisdiction shall be Satara District,
Maharashtra.
Declaration
The IDS confirms having read, understood, and accepted all Terms & Conditions and
agrees to comply with Company policies and Direct Selling Rules, 2021.
Code of Ethics
- Maintain professionalism and integrity.
- Use only approved Company materials.
- Follow ethical and transparent practices.
- Support and train downlines responsibly.
- Protect Company reputation and goodwill.
- The IDS shall take responsibility to teach and assist their downlines by imparting the principles and guidelines of the Company’s Code of Ethics, rules and regulations, product presentation, and compensation plan as tools for success.
- IDS shall not indulge in practices harming the company’s reputation, business, or relationships with clients or other IDS.
